Terms of Use

Please read these Terms of Use ("Terms"), which set forth the legally binding terms and conditions between you and Emergency Healthcare Development Foundation ("EHDF", "Foundation", "we", "us" or "our"). EHDF is an initiative of Emergency Response Africa ("ERA") established to help underserved people access emergency healthcare when they are unable to afford the cost of care. These Terms govern your access to and use of the Foundation’s website (the "Site"), any related mobile application (the "App"), and all related services, including donation and fundraising activities (collectively, the "Service").

Our collection and use of personal information in connection with your access to and use of the Service is described in our Privacy Policy.

Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, donors, partners, beneficiaries and other users who access or use our Service.

By accessing or using the Service you agree to be bound by these Terms. If you disagree with any part of these Terms, then you may not access the Service.

1. Definitions

  • "Beneficiary" means a person who receives emergency healthcare support, including but not limited to ambulance transportation and related emergency care, funded wholly or in part by the Foundation because such person is unable to afford the cost of that care.
  • "Donation" means any monetary or in-kind contribution made to the Foundation by a Donor, whether one-off or recurring, made directly, through an event, promotional channel, or a third-party payment platform.
  • "Donor" means any individual, corporate body, association or other entity that makes a Donation to the Foundation.
  • "Emergency" means any serious, sudden medical incident that requires immediate care and action.
  • "Partner" means any organisation, corporate sponsor, or third party that collaborates with the Foundation under a partnership, sponsorship, or corporate social responsibility ("CSR") arrangement.
  • "Payment Platform" means any secured third-party payment processor or platform used by the Foundation to collect Donations.
  • "Service" refers to all activities, programmes and services provided by EHDF, including sourcing, collecting and disbursing Donations for emergency healthcare support, as described on the Site.
  • "Users" refers to Donors, Partners, Beneficiaries, and any other visitors to or account holders on the Site or App.

2. Acceptance of Terms

The Service is offered subject to your acceptance of these Terms and all other operating rules, policies and procedures published by the Foundation on the Site, which are incorporated into these Terms by reference. Some aspects of the Service, such as specific donation drives, events or partnership arrangements, may be subject to additional terms and conditions, which will also be incorporated into these Terms by reference.

The Foundation reserves the right, at its sole discretion, to modify or replace these Terms from time to time by posting the updated Terms on the Site. It is your responsibility to check these Terms periodically. Your continued use of the Site or App following any such changes constitutes your acceptance of those changes.

The Foundation reserves the right to change, suspend or discontinue the Service, or any part of it, at any time and for any reason.

3. About the Foundation and Scope of Our Services

Emergency Healthcare Development Foundation is an initiative of Emergency Response Africa dedicated to ensuring that access to emergency healthcare is not determined by a person’s ability to pay. The Foundation identifies and supports Beneficiaries, primarily individuals who contact ERA for emergency assistance and are subsequently verified as genuinely requiring care but unable to afford the associated costs, such as ambulance transportation and emergency treatment.

The Foundation carries out its work through the generosity of Donors and Partners. We source funds from local and international individuals, corporate bodies and organisations through events, partnerships, CSR arrangements, and other promotional and fundraising channels, and we collect Donations through secured Payment Platforms.

Access to certain features of the Service, such as creating a Donor account, may be subject to conditions, including providing accurate registration information.

You must be at least 18 years old and legally capable of entering into binding contracts to make a Donation, register an account, or otherwise use the Service in your personal capacity. By using the Service, you represent and warrant that you meet this requirement, or, where you are transacting on behalf of a company or other legal entity, that you are duly authorised to bind that entity.

4. Donations

This section applies to all Donations made to the Foundation, however they are sourced or collected.

  • All Donations are made voluntarily, and by making a Donation you confirm that the funds or items you contribute are lawfully yours to give and are not derived from illegal activity.
  • Donations may be one-off or recurring, and may be made directly through the Site or App, at events, through Partner or CSR arrangements, or through other promotional channels the Foundation may use from time to time.
  • All monetary Donations are processed through secured third-party Payment Platforms. The Foundation does not directly store your full payment card or bank account details; such information is handled by the relevant Payment Platform in accordance with its own terms and privacy policy, which we encourage you to review.
  • You are responsible for ensuring that the payment details you provide are accurate and that you are authorised to use the payment method selected.
  • Donations are generally non-refundable once processed, except where required by law or where the Foundation, at its sole discretion, determines that a refund is appropriate (for example, in the case of a demonstrable processing error or duplicate transaction). Refund requests should be sent to the contact address provided at the end of these Terms.
  • The Foundation will apply Donations toward its charitable purpose of providing emergency healthcare support to Beneficiaries, and toward the reasonable administrative and operational costs of carrying out that purpose, unless a Donation is expressly designated by the Donor for a specific restricted purpose and accepted by the Foundation on that basis.
  • Where the Foundation issues receipts, acknowledgements, or donor recognition, it will do so in accordance with its internal policies and applicable law. Donors are responsible for complying with any tax or reporting obligations that may apply to them in their own jurisdiction.
  • The Foundation may, at its discretion, publicly acknowledge Donors and Partners (for example, on the Site or in impact reports) unless a Donor requests anonymity.

5. Beneficiary Identification and Support

Beneficiaries are primarily identified from among individuals who contact ERA in the course of an Emergency. Where such an individual is verified as genuinely requiring emergency care but unable to afford the associated costs, the Foundation may, subject to available funds and its own verification processes, provide or facilitate financial support toward that care, including but not limited to ambulance transportation.

The Foundation exercises reasonable discretion and diligence in verifying eligibility for support, but does not guarantee that support will be available to any particular individual or in any particular circumstance, as this depends on factors including available funding and capacity at the relevant time.

Provision of support by the Foundation does not create a right to future support, and the Foundation reserves the right to set, vary or apply eligibility criteria for Beneficiary support at its sole discretion.

6. Accounts

Where the Site or App allows you to register an account, you must provide accurate, current and complete information and keep it up to date. You are responsible for safeguarding your account credentials and for all activity conducted under your account, unless such activity was not authorised by you and you were not otherwise negligent (for example, in failing to report unauthorised use promptly).

7. Content Use

The Foundation may make available content on or through the Site or App, including information about the Foundation, its programmes, impact, testimonials and general health and emergency-care information (“Foundation Content”).

Foundation Content is provided for general informational and educational purposes only. It does not constitute, and should not be relied upon as, medical advice, and it does not create any offer to provide emergency medical services to any particular person. If you require medical advice or treatment, you should consult a qualified healthcare professional or, in an Emergency, contact ERA or the relevant emergency services directly.

You may view and use Foundation Content solely for your personal, non-commercial use. You will not copy, adapt, modify, distribute, sell, sublicense, publicly display or otherwise exploit Foundation Content except as expressly permitted by these Terms or with our prior written consent, and you will not reverse engineer, decompile, or attempt to derive the source code of any part of the Site or App, except to the extent applicable law specifically permits this.

8. No Professional Advice

NO LICENSED MEDICAL PROFESSIONAL/PATIENT RELATIONSHIP IS CREATED BY YOUR USE OF THE SITE, APP OR ANY FOUNDATION CONTENT. THE CONTENT OF THE SITE AND APP IS NOT, AND SHOULD NOT BE TREATED AS, MEDICAL ADVICE OR A SUBSTITUTE FOR INDIVIDUAL MEDICAL ADVICE, DIAGNOSIS OR TREATMENT. DO NOT DELAY SEEKING MEDICAL ADVICE OR EMERGENCY ASSISTANCE BECAUSE OF SOMETHING YOU HAVE READ ON THE SITE OR APP. IN AN EMERGENCY, CONTACT ERA OR THE APPLICABLE EMERGENCY SERVICES IMMEDIATELY.

9. Intellectual Property

The Site, App and their content, features and functionality, including the EHDF and ERA names, logos and trademarks, are and will remain the exclusive property of the Foundation and/or ERA, as applicable. Nothing in these Terms transfers any intellectual property right to you, and our names, logos and trademarks may not be used without our prior written consent.

10. Communications

By registering on the Site or App, or by making a Donation, you consent to receive electronic communications from the Foundation, including receipts, updates, impact reports and other communications related to your relationship with us. You may opt out of non-essential communications at any time using the unsubscribe mechanism provided in such communications.

11. Prohibited Activities

You agree that, in connection with your use of the Service, you will not, and will not assist or enable others to:

  • use the Service for any unlawful purpose or in breach of any applicable law, regulation or third-party right;
  • make a Donation using funds that you know or ought reasonably to know are derived from illegal activity, or otherwise use the Service to facilitate money laundering or fraud;
  • provide false, misleading or fraudulent information in connection with a Donation, an account, or a request for Beneficiary support;
  • use the Site, App or Foundation Content for commercial purposes not expressly permitted by these Terms, or in a manner that falsely implies endorsement, partnership or affiliation with the Foundation;
  • access, store or use personal information about any other User in a manner inconsistent with our Privacy Policy or these Terms;
  • discriminate against or harass any person on the basis of race, tribe, origin, religion, gender, disability, medical condition, marital status or age, or otherwise engage in abusive or disruptive conduct;
  • use any robot, spider, scraper or other automated means to access or collect data from the Site or App without our consent;
  • circumvent, disable or otherwise interfere with any security-related feature of the Site, App or any Payment Platform; or
  • take any action that damages, disrupts or impairs the proper functioning of the Site, App or Service.

Violation of this section may result in suspension or termination of your account and, where appropriate, referral to the relevant authorities.

13. Termination

We may suspend or terminate your account or access to the Service at any time, without prior notice, including where we reasonably believe you have breached these Terms. You may discontinue use of the Service, or request closure of your account, at any time by contacting us.

14. Indemnity

You agree to indemnify and hold harmless the Foundation, ERA, and their respective affiliates, officers, directors, employees and agents from and against any liabilities, costs, damages and losses (including reasonable legal costs) arising out of or in connection with: (a) your fraudulent, unlawful or negligent use of the Service; (b) your breach of these Terms; (c) any inaccurate or incomplete information you knowingly provide to us, including in connection with a Donation or a request for Beneficiary support; or (d) your infringement of any intellectual property or other right of the Foundation or a third party.

15. Disclaimer

Your use of the Service is at your sole risk. The Service, including all Foundation Content, is provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement. The Foundation does not warrant that the Site or App will be uninterrupted, secure, error-free or free of harmful components.

Nothing in these Terms limits or excludes liability that cannot be limited or excluded under applicable law.

16. Governing Law

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be treated as a waiver of that right or provision. If any provision of these Terms is held invalid or unenforceable, the remaining provisions will continue in full force and effect.

17. Dispute Resolution

Any dispute arising out of or in connection with the validity, interpretation or performance of these Terms that cannot be resolved amicably through negotiation within thirty (30) days shall be referred to arbitration at the Lagos Court of Arbitration (LCA) before a single arbitrator, in accordance with the Arbitration and Conciliation Act, Cap A18, Laws of the Federation of Nigeria.

The parties shall endeavour in good faith to agree on the selection of an arbitrator. If they are unable to agree within ten (10) days of a request, either party may apply to the LCA to appoint an arbitrator. Arbitration proceedings shall be conducted in Lagos, and the arbitrator shall be requested to render a reasoned award within ninety (90) days. The arbitrator’s decision shall be final and binding. Each party shall bear its own costs, and the arbitrator’s fees shall be shared equally.

18. Feedback

We welcome feedback, comments and suggestions on the Foundation’s Site, App or Service. Feedback may be submitted to the contact address below. Any feedback you submit is considered non-confidential and non-proprietary, and by submitting it you grant the Foundation a non-exclusive, worldwide, royalty-free, irrevocable, perpetual licence to use it for any purpose, without compensation to you.

19. Changes to These Terms

The Foundation may change these Terms at any time by posting an updated version on the Site. The most current version will supersede all prior versions. We encourage you to review these Terms periodically.
